Welcome to GradBrew. By accessing our website, platform or using any of our services, you agree to be bound by the following Terms and Conditions (“Terms”). Please read them carefully.GradBrew is a sole proprietorship registered in India, providing education consulting services to clients globally.
1. Overview of Services
1.1 GradBrew offers admissions and career consulting services including, but not limited to:
- Profile evaluation and school shortlisting
- Application material guidance (CVs, SOPs, essays, short answers, etc.)
- Interview preparation and application strategy
- Post-admit career-focused services via our “Career Studio” platform (a separately priced service, currently in development phase)
- Tools, documents, webinars, recorded or live sessions, content on social media, etc. related to admissions strategy, career preparation and related topics
- Use of AI tools and curated content to assist in document preparation
- Support from or collaboration with freelance/contract consultants or third-party specialists when necessary
1.2 GradBrew reserves the right to update, enhance, or discontinue any service at any time, without prior notice. Services may evolve or be expanded from time to time. GradBrew retains full discretion over the scope, delivery format, and structure of its offerings.
2. Eligibility
2.1 To use GradBrew services, you must:
- Be at least 18 years of age, or have the consent and supervision of a parent or legal guardian
- Have the legal authority to enter into this agreement, either for yourself or on behalf of another person (e.g., a child or dependent)
- Provide accurate, current, and complete information throughout the engagement
- Use our services solely for personal, non-commercial purposes
- Not use our services for any fraudulent, illegal, or unethical purpose, or in violation of applicable laws
- Not copy, resell, or repurpose our content, tools, or strategies without written permission from GradBrew senior management
2.2 GradBrew reserves the right to refuse service or terminate a relationship at its sole discretion, particularly in cases of dishonesty, abuse, plagiarism, misconduct or any such activities or intentions.
3. Scope of Engagement
3.1 GradBrew provides advisory and support services related to higher education admissions and career planning. These services include (but are not limited to) school shortlisting, document feedback, application strategy, and interview preparation.
3.2 Our role is strictly advisory — we guide you through the application process and help you present your best story. However:
- We do not guarantee admission, scholarships, visa approvals, job placements, or any specific outcomes.
- We do not fill out or submit application forms, upload documents, or act as agents for any educational institution.
- We do not ghostwrite essays or any part of your application; all support is provided in a review-and-guide format to maintain ethical standards.
- The client/customer/applicant (i.e. you) are solely responsible for ensuring that all materials submitted to schools are accurate, truthful, and original. GradBrew provides guidance only and does not take responsibility for the final content submitted.
- Our advice is based on the information you provide. Any omission, inaccuracy, or lack of responsiveness may impact the quality or timeliness of our guidance.
3.3 For visa guidance, financial aid, or post-admit employment assistance, we may offer general advice or connect you with third-party experts — but these are optional, separate services, not covered under your standard package.
4. Client Responsibilities
By engaging GradBrew’s services, you (the client) agree to fulfil the following responsibilities:
- Provide Accurate Information: You must ensure that all personal, academic, and professional details shared with us are true, accurate, and verifiable. Misrepresentation may result in termination of service without refund.
- Participate Actively: You are expected to respond to communications in a timely manner and to be an active participant in your application journey. Delays caused by your inaction may affect service timelines and outcomes.
- Review & Approve Final Materials: While we offer expert guidance and unlimited edits, you are ultimately responsible for reviewing and approving all submitted materials. GradBrew is not liable for errors or omissions in final applications submitted to institutions.
- Use Services Ethically: GradBrew offers ethical admissions consulting and does not provide ghostwriting, false documentation, or impersonation services. Any request for such services will result in immediate termination without refund.
- Maintain Professional Conduct: You must treat GradBrew’s team members, consultants, and third-party partners with professionalism and respect. Abusive or harassing behavior will not be tolerated and may lead to suspension or termination of services without refund.
- Outcome Acknowledgement: While GradBrew works to maximize your chances of success through personalized guidance, we cannot and do not guarantee admission, scholarships, visas, or job placement. Outcomes are influenced by many external factors as well.
- Non-Transferability of Services: GradBrew’s services are non-transferable and may only be used by the individual who originally signed up. Requests to transfer services to another person will not be honored.
- Pausing or Deferring Services: If you wish to pause or defer your services (e.g., delay applications to a future cycle), you must notify us in writing. We allow reasonable deferrals within a 12‑month period, subject to approval and advisor availability.
5. Use of AI, Freelancers, and Third Parties
GradBrew may use a combination of AI tools, freelance consultants, and trusted third‑party partners to deliver certain aspects of our services. These relationships are structured to enhance speed, personalization, and quality — while keeping client outcomes at the center.
- AI Assistance: We may use AI tools for initial drafts, structure suggestions, content structuring, idea generation, language refinement, feedback generation, etc. However, final outputs are reviewed and refined by human consultants to ensure quality, personalization, and ethical compliance.
- Freelance Consultants: GradBrew may assign freelance or contract consultants to assist you with specific services (e.g., essay feedback, interview prep, etc.). These individuals operate under GradBrew's direction but are not employees. GradBrew retains full discretion over consultant assignments and quality control.
- Third‑Party Referrals: We may recommend or refer you to independent service providers (e.g., for visa support, education loans, or language training). These referrals are provided for your convenience only. GradBrew is not responsible for the pricing, performance, accuracy, or outcomes of any third‑party service and assumes no liability for actions taken by these independent providers.
- Client Communication: Clients may engage with assigned consultants through email, WhatsApp, or other digital platforms as part of the service process. While we encourage seamless collaboration, GradBrew is not liable for miscommunication, unauthorized promises, or data shared outside official workflows or documentation.
- Confidentiality and Data Sharing: All consultants and internal team members are instructed to treat client information with confidentiality. Freelancers are expected to adhere to the same ethical and data protection standards. However, GradBrew cannot be held responsible for data breaches, leaks, or disclosures resulting from unauthorized access or third‑party misuse beyond its reasonable control.
- Limitation of Liability for Misconduct: GradBrew conducts reasonable due diligence when engaging freelancers and third‑party partners. However, GradBrew shall not be liable for any misconduct, negligence, misrepresentation, or harm caused by such individuals or external services. Clients are encouraged to exercise discretion and report any inappropriate behavior to GradBrew immediately.
- Right to Modify or Withdraw: GradBrew reserves the right to change, discontinue, or substitute AI tools, freelancers, or third‑party relationships at any time without prior notice, and at its sole discretion based on evolving service needs or quality considerations.
6. Payment, Refunds & Cancellation
GradBrew offers fixed‑price consulting packages with the option to pay upfront or in two equal installments (if available at checkout). All fees are quoted in Indian Rupees (INR) unless stated otherwise, and payments may be made via Razorpay using credit/debit cards, UPI, or net banking. International clients may be charged in their local currency based on Razorpay’s conversion rate.
- Refunds and Cancellations: You may cancel your purchase within 14 days of payment for a full refund—provided that no services have been initiated or delivered (e.g., brainstorming, profile feedback, school list shared, etc.). Once work has begun, refunds may be unavailable or partial based on service usage. No refunds are offered after the first school guidance is delivered unless otherwise agreed in writing. In special cases (e.g., serious health emergencies), partial refunds may be considered at GradBrew’s discretion. Supporting documentation may be required.
- Refund Request Procedure: To request a refund, please email [email protected] within 14 days of purchase. Include your name, date of purchase, and reason for the request. We typically process refund requests within 7 business days.
- Payment Terms: All consulting services must be paid in full prior to onboarding. You may choose between a one‑time payment or a two‑installment plan (50% upfront, 50% before school‑specific work begins). Prices are listed in Indian Rupees (INR) or other currency and exclude applicable taxes unless otherwise stated.
- Upgrades and Additional Schools: Clients may upgrade to a higher‑tier package or add more schools at any time. The cost difference between the original and new plan will apply, along with any applicable per‑school consulting fee or margin.
- Discounts and Coupons: Promotional discounts, if any, must be applied at the time of purchase and cannot be applied retroactively. GradBrew reserves the right to modify or withdraw discount codes at its discretion.
- Post-Admit Services Not Included: Our Career Studio by GradBrew, which includes post‑admit guidance like CV building and job prep, is a separate, premium offering and is not included in any admissions consulting package unless explicitly stated.
- No Auto-Renewals: All GradBrew services are one‑time purchases. You will never be charged again unless you choose to purchase an additional or upgraded service.
- Disputes and Chargebacks: If you believe there has been a billing error or issue with your service, please contact GradBrew support within 7 days of the transaction. You agree not to initiate a chargeback or payment dispute without first giving us a reasonable opportunity to resolve the issue.
- Non-Refundable Services: Fees paid for third‑party referrals (e.g., visa, loans, language courses) and Career Studio by GradBrew are non‑refundable and governed by separate terms. GradBrew is not liable for any such services.
- Late or Missed Payments (Installment Plans): In the case of installment plans, delays in second payment may pause your project. If overdue by more than 14 days without notice, GradBrew reserves the right to cancel your engagement.
- Taxes & Currency Fees: Indian GST (Goods and Services Tax) may apply to domestic purchases. For international clients, currency conversion or foreign transaction fees may be charged by your payment provider. GradBrew is not responsible for such external charges.
- GradBrew reserves the right to update pricing, payment structures, or accepted payment methods at any time. However, such changes will not affect services already purchased under a confirmed order.
- Refunds, if applicable, are governed strictly by our Refund Policy. GradBrew retains sole discretion over refund approvals and partial settlements. Refund requests will not be accepted once meaningful work (e.g., profile review, document feedback) has commenced.
7. Service Delivery & Timeframes
GradBrew strives to provide responsive, high‑quality, and personalized support throughout your admissions journey. The following terms outline our standard delivery timelines and related expectations:
- Onboarding & First Contact: Upon confirmed payment, you will receive your onboarding materials within 48 hours. A GradBrew team member will reach out via email or WhatsApp to begin your engagement.
- Document Review & Feedback Turnaround: For submitted materials (CVs, essays, forms, etc.), our standard turnaround time is 2–5 working days. Urgent reviews may be accommodated based on availability but are not guaranteed.
- Working Days Definition: GradBrew considers Monday through Friday as working days. Indian public holidays or unforeseen closures will be communicated in advance.
- Client Delays & Inactivity: If you delay your responses, fail to provide required documents, or go inactive without notice, your timeline may shift accordingly. GradBrew is not responsible for delays resulting from client inaction.
- Unlimited Edits — Within Reason: All consulting packages include unlimited edits. However, to ensure quality and sustainability, we expect clients to consolidate revisions meaningfully and adhere to agreed‑upon timelines. Excessive revision loops without substantive change may be paused or redirected.
- Deferred or Paused Service: If you wish to pause your service (e.g., delay to next year), you must notify us in writing. We allow reasonable deferral within a 12‑month period, subject to advisor availability.
- Mentor Availability: Mentor allocation is based on your school list, background, and timeline. While we try to match you as early as possible, mentor schedules may affect the exact starting point of your one‑on‑one work.
- Third-Party Dependencies: GradBrew uses third‑party tools (e.g., Razorpay, Cal, WhatsApp, Tally) and collaborates with freelance consultants. We are not responsible for service delays, unavailability, or quality issues stemming from these third parties.
- Technical Disruptions: GradBrew shall not be liable for any delay or interruption in service resulting from technical issues outside our control, including internet outages, server failures, or third‑party system downtime.
8. Intellectual Property & Content Use
- Ownership: All content, materials, methods, processes, and frameworks provided by GradBrew — including but not limited to templates, guides, checklists, proprietary strategies, visual assets, web content, and AI-assisted drafts — are and shall remain the intellectual property of GradBrew (or its licensors, where applicable).
- Client Use: You are granted a limited, non-transferable, non-exclusive license to use the final personalized deliverables (e.g., edited essays, CVs, SOPs) solely for your own admissions or job application process. You may not reproduce, republish, resell, distribute, or use these materials for commercial purposes or in collaboration with any competing services.
- Content Sharing: You may not share GradBrew materials — including templates, drafts, feedback, or proprietary documents — on public forums, websites, messaging platforms, or with other individuals or services, without prior written permission.
- Brand & Logo: The GradBrew name, logo, brand identity, and related design assets are trademarks of GradBrew. They may not be used in any form that implies endorsement, affiliation, or partnership without written consent.
- Freelancer & AI Contributions: Content created with the help of freelance consultants or generated through AI tools within GradBrew’s internal systems is governed by the same terms and may not be repurposed, redistributed, or treated as open source.
- Permission Requests for Non-Commercial Use: If you wish to reuse your personalized GradBrew materials for non-commercial purposes — such as blog posts, public testimonials, or speaking engagements — you must request and receive prior written approval. GradBrew reserves the right to grant or deny such requests at its discretion.
- Enforcement: GradBrew reserves the right to take appropriate legal action in the event of intellectual property violations, misuse, or unauthorized distribution of its content.
9. Data Privacy and Communication
- What We Collect: We may collect personal, academic, and professional data through intake forms (via Tally), call scheduling tools (e.g., Cal), and direct communication (e.g., WhatsApp, email). This includes but is not limited to name, contact details, test scores, transcripts, CVs, and essay drafts.
- Purpose of Use: We use this data to match you with mentors, deliver personalized feedback, schedule consultations, and support your admissions journey. Data is never sold, rented, or used for unrelated marketing.
- Tools & Platforms: We use secure third‑party tools like Razorpay (for payments), Tally (for data collection), WhatsApp Business (for communication), and Cal (for scheduling). By using our services, you consent to data handling via these platforms in accordance with their respective privacy policies.
- Third-Party Access: Your data may be accessed by freelance consultants, editors, or partner advisors solely for the purpose of delivering GradBrew services. All third‑party collaborators are subject to confidentiality agreements and ethical guidelines.
- Communication Consent: By signing up, you consent to receive relevant communication via email, WhatsApp, and SMS. You may opt out at any time.
- Client Rights: You may request to review, correct, or delete your personal data by contacting us. We will comply within a reasonable timeframe unless retention is required for legal, financial, or operational reasons.
- Retention: GradBrew retains client records for up to 24 months after completion of service, unless longer retention is requested or required. After this period, records may be anonymized or deleted.
- Cookies & Tracking: Our website may use cookies or third‑party analytics tools (such as Google Analytics) to improve user experience and understand visitor behavior. By continuing to use our site, you consent to this usage. You can manage cookie preferences through your browser settings.
- Limitations & Disclaimers: While we implement reasonable security measures, GradBrew is not liable for unauthorized access, loss, or misuse of data that occurs beyond our control or due to third‑party platform vulnerabilities.
- Acceptance: Use of our services indicates your understanding and acceptance of this policy. Please review our Privacy Policy for full details.
10. Limitation of Liability
- No Outcome Guarantees: GradBrew does not and cannot guarantee admission to any school, program, scholarship, internship, or job opportunity. Decisions rest solely with third‑party institutions and employers, and depend on multiple external factors beyond our control.
- Independent Discretion: All advice, feedback, and guidance provided by GradBrew and its consultants is meant to support your decision‑making process. Final decisions—including which schools to apply to, which documents to submit, and when to submit them—are solely your responsibility.
- No Liability for Indirect Loss: GradBrew shall not be held liable for any indirect, incidental, or consequential losses, including emotional distress, missed deadlines, reputational harm, or financial losses resulting from your use of our services.
- Third-Party Services & Platforms: GradBrew is not responsible for the performance, reliability, or conduct of any third‑party service provider, freelance consultant, payment gateway, scheduling tool, or communication platform used in the delivery of our services.
- Maximum Liability Cap: In the event of a verified breach of these Terms attributable solely to GradBrew, our maximum liability shall not exceed the total fees paid by you for the specific service in question.
- Force Majeure: GradBrew shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including natural disasters, internet outages, regulatory changes, political instability, or global health emergencies.
- Acknowledgment: By using our services, you acknowledge and agree to these limitations. To the fullest extent permitted by law, GradBrew and its affiliates are not liable for: losses arising from admission rejections, delays, or errors in applications; client decisions based on advice received; issues with third‑party platforms or partners.
- Total Liability: Our total liability under any claim will not exceed the amount paid by the client for the service in question.
11. Dispute Resolution and Jurisdiction
- Initial Resolution Process: In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms and Conditions, the parties shall use their best efforts to resolve the dispute promptly and amicably. The parties agree to first attempt to resolve the issue through good faith written communication and mutual consultation within thirty (30) calendar days from the date the dispute is formally raised.
- Jurisdiction and Venue: If the parties cannot resolve the dispute through informal consultation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the competent civil courts located in Noida, Uttar Pradesh, India. By accepting these Terms, all clients agree to submit to the jurisdiction of the courts of Noida, India, and waive any objections related to jurisdiction, venue, or forum non conveniens.
- Governing Law: These Terms and Conditions shall be governed exclusively by and construed in accordance with the laws of the Republic of India, without giving effect to any principles of conflicts of law.
- Global Clients: International clients agree to submit to the jurisdiction of Indian courts for all legal matters and waive any objection based on venue or forum non conveniens.
- Optional Alternative Dispute Resolution: At GradBrew’s sole discretion, the company may offer the option of resolving disputes through mediation or arbitration. The procedure and enforceability of such a process will be mutually agreed upon in writing and does not waive the provisions of Clause 11.2 and 11.3.
- Limitation on Claims: Any legal action, arbitration, or other formal complaint arising out of or related to the services must be filed within three (3) calendar months of the incident. Claims not filed within this timeframe shall be deemed irrevocably waived and permanently barred.
- Class Action Waiver: All parties agree that any claims or disputes must be brought on an individual basis, not as a class or collective proceeding, without prior written consent of all parties.
- Non-Waiver of Rights: No failure or delay by GradBrew in exercising any right shall operate as a waiver of such right, power, or remedy. Any waiver must be explicit and in writing, signed by an authorized representative of GradBrew.
- Right to Seek Injunctive Relief: GradBrew reserves the right to seek immediate equitable relief from any court worldwide in the event of threatened or actual misuse of its intellectual property or proprietary information.
12. Modifications to Terms and Services
- Right to Modify Terms: GradBrew reserves the right to revise, update, or modify these Terms and Conditions at any time, in whole or in part, at its discretion.
- Notification of Changes: When changes are made, GradBrew will notify users by posting the revised Terms on our website with an updated “Last Revised” date, sending an email to registered users, and/or providing in‑app announcements. Continued use of our services constitutes acceptance of the updated Terms.
- Right to Modify Services: GradBrew may modify, suspend, or discontinue any part of its services or offerings at any time without prior notice. Such changes will not retroactively impact services already paid for unless mutually agreed.
- Client Rights Upon Material Change: If any material change substantially affects your rights or obligations, you may discontinue use of the services. No refunds or credits will be issued for services already rendered unless otherwise specified.
- No Waiver by Inaction: Continued use of the GradBrew platform after modifications constitutes acceptance of the updated Terms. Failure to review changes does not absolve you of your obligations.
13. Miscellaneous
- Entire Agreement: These Terms and Conditions, together with any written agreements or communications expressly referenced herein, constitute the entire agreement between you and GradBrew regarding the services provided and supersede all prior agreements.
- Severability: If any provision is held invalid or unenforceable by a court, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
- No Agency or Employment Relationship: Nothing in these Terms shall be construed as creating a partnership, joint venture, employment relationship, or agency relationship between GradBrew and the Client or any freelance consultant, unless expressly stated otherwise.
- Assignment: You may not assign your rights or obligations under these Terms without prior written consent. GradBrew may assign its rights and obligations to third‑party vendors, freelancers, or successors without requiring your consent.
- Force Majeure: GradBrew shall not be liable for delays or failures to perform due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor strikes, pandemics, government restrictions, internet outages, or third‑party disruptions.
- Survival of Provisions: All provisions that by their nature should survive termination remain in effect, including confidentiality obligations, intellectual property rights, limitation of liability, governing law, and dispute resolution clauses.
- Headings for Convenience Only: Headings and section titles are for reference only and shall not affect interpretation or construction of these Terms and Conditions.

- Notifications and Service Updates: By using our services, you consent to receive transactional updates, onboarding materials, progress communications, and service notifications via email, WhatsApp, or other digital platforms integrated with our operations.
- Third-Party and Freelancer Communication: Clients may be connected with freelance consultants, mentors, or third‑party service providers. All official communication related to consulting engagement, payments, or support must be initiated via GradBrew’s official channels.
- Consent to Digital Records: You agree that all electronic communication via email, WhatsApp, web forms, or other authorized platforms shall satisfy any legal requirement that communications be in writing.
- Change of Contact Details: It is your responsibility to ensure that the contact information you provide to GradBrew is accurate and up to date. GradBrew is not responsible for failed communications due to incorrect or outdated client information.
